Terms of Service

The rules that apply when you use Ordifact.

To be completed: the legal entity name, tax ID, and registered address of the service provider. These terms are operative, but the legal entity that owns the service will be published here before the first paid contract is signed.

1. Who we are and what these terms cover

Ordifact ("Ordifact", "we") provides an online service that digitises and organises supplier invoices for restaurants in Spain.

These Terms of Service (the "Terms") govern your use of the service. By creating an account, uploading an invoice, or using the app in any way, you accept these Terms.

If you don't agree, don't use the service.

2. The service

Ordifact lets you:

Ordifact processes received invoices only. We don't issue invoices or handle payments, and we are not subject to Verifactu or TicketBAI obligations for your issued invoices (that remains your responsibility or your billing system's).

6. Pricing and payment

During the beta phase, Ordifact is offered free to invited restaurants. When we exit beta, we'll communicate prices at least 30 days in advance, and you'll need to accept the new conditions to keep using the service.

Once a paid plan is active, the following will apply:

We do everything reasonable to keep the service available, but during the beta phase we don't guarantee a service level (SLA). There may be scheduled maintenance windows or occasional incidents.

For serious incidents that affect sending the report to your accountant, we'll offer alternative channels (manual send, data export) and resolve them as quickly as possible.

8. Your data and the extracted data

Personal data processing is governed by our Privacy Policy, which forms an integral part of these Terms.

9. Extraction accuracy

Ordifact uses artificial intelligence to read invoices and extract data. Our target is 99% accuracy, and a human team reviews low-confidence invoices before you see them.

Even so, the extraction is not infallible. That's why:

These limitations do not affect mandatory rights granted to you as a contracting party by applicable law.

11. Confidentiality

We treat the information you entrust to us as confidential. We only access your data to provide the service or when you explicitly request support (see section 6 of the Privacy Policy).

All staff with access have signed a confidentiality agreement.

12. Intellectual property

The software, trademarks, logos, design, extraction models, and other Ordifact elements are owned by us or our licensors. Your use of the service does not grant you any rights over them beyond what is necessary to use it.

If we modify these Terms, we'll notify you by email at least 15 days in advance. If you don't agree with the changes, you can cancel the service at no cost before they take effect.

15. Governing law and dispute resolution

These Terms are governed by Spanish law. For any dispute that cannot be resolved amicably, the parties submit to the Courts of the city where Ordifact has its registered office, except where mandatory law establishes another jurisdiction.
