Terms of Service
The rules that apply when you use Ordifact.

1. Who we are and what these terms cover
Ordifact ("Ordifact", "we") provides an online service that digitises and organises supplier invoices for restaurants in Spain.
These Terms of Service (the "Terms") govern your use of the service. By creating an account, uploading an invoice, or using the app in any way, you accept these Terms.
If you don't agree, don't use the service.
2. The service
Ordifact lets you:
- Upload supplier invoices via email, web, or phone photo.
- Have our system automatically extract the relevant data (supplier, tax ID, date, base, VAT, total, line items).
- Browse your invoices, expenses, and suppliers from a dashboard.
- Send your accountant a periodic report (Excel + PDF + ZIP of originals).
- Ask natural-language questions about your data through an AI chat.
Ordifact processes received invoices only. We don't issue invoices or handle payments, and we are not subject to Verifactu or TicketBAI obligations for your issued invoices (that remains your responsibility or your billing system's).
3. Who can use Ordifact
- Restaurants and hospitality businesses based in Spain.
- People with legal capacity to contract on behalf of the restaurant.
- Adults of legal age.
4. Your account
- You are responsible for your access credentials. Keep your password private.
- You are responsible for all activity carried out from your account.
- If you detect unauthorised access, notify us immediately at hola@ordifact.com.
- Only one user per restaurant is supported in the current version; we'll let you know when multi-user launches.
5. Acceptable use
By using Ordifact, you commit to:
- Upload only real invoices that correspond to your restaurant's activity.
- Not upload third-party documents without their consent (except invoices legitimately addressed to you).
- Not attempt to access other restaurants' data.
- Not reverse-engineer, mass-scrape, or attempt to break the service's security.
- Not use Ordifact for illegal activities, tax fraud, or money laundering.
We reserve the right to suspend or terminate accounts that breach these rules.
6. Pricing and payment
Once a paid plan is active, the following will apply:
- Monthly subscription with no commitment, unless otherwise agreed.
- Payment in advance at the start of each period.
- Accepted payment methods as published in the checkout flow.
- Prices may be updated annually; we'll notify you 30 days in advance.
- Applicable VAT will be added to the displayed price.
7. Service availability
We do everything reasonable to keep the service available, but during the beta phase we don't guarantee a service level (SLA). There may be scheduled maintenance windows or occasional incidents.
For serious incidents that affect sending the report to your accountant, we'll offer alternative channels (manual send, data export) and resolve them as quickly as possible.
8. Your data and the extracted data
- Your data is yours. You retain ownership of the invoices you upload and the data extracted from them.
- You grant us a limited, non-exclusive licence to process this data for the sole purpose of providing the service (see Privacy Policy).
- You can export your data at any time from the app, or request it by email.
Personal data processing is governed by our Privacy Policy, which forms an integral part of these Terms.
9. Extraction accuracy
Ordifact uses artificial intelligence to read invoices and extract data. Our target is 99% accuracy, and a human team reviews low-confidence invoices before you see them.
Even so, the extraction is not infallible. That's why:
- Before the report is sent to your accountant, you'll receive an email with the list of invoices and a link to confirm the send. That confirmation is your validation.
- Final tax and accounting responsibility remains with you and/or your accountant. Ordifact is a tool that reduces manual work; it does not replace professional review or the correct filing of Modelo 303, Corporate Tax, or any other tax form.
- We recommend that your accountant always reviews reports before official filing.
10. Limitation of liability
To the maximum extent permitted by law:
- Ordifact is not liable for indirect losses, loss of profits, lost business opportunities, or reputational damage.
- Our aggregate liability for direct damages, during any 12-month period, will not exceed the amount you have paid Ordifact during that same period. During the free beta phase, the aggregate cap is set at €500.
- We are not liable for errors, omissions, or penalties arising from extracted data you have not validated, or from your or your accountant's failure to file required tax forms.
These limitations do not affect mandatory rights granted to you as a contracting party by applicable law.
11. Confidentiality
We treat the information you entrust to us as confidential. We only access your data to provide the service or when you explicitly request support (see section 6 of the Privacy Policy).
All staff with access have signed a confidentiality agreement.
12. Intellectual property
The software, trademarks, logos, design, extraction models, and other Ordifact elements are owned by us or our licensors. Your use of the service does not grant you any rights over them beyond what is necessary to use it.
13. Cancellation and data deletion
- You can cancel the service at any time by writing to hola@ordifact.com.
- On request, we will delete your account and all associated data (invoices, files, line items, supplier profiles) within 30 days, retaining only the minimal record of the cancellation for compliance evidence (slug, restaurant name, date).
- Before deletion, you can export all your data.
- Statutory tax-retention obligations (minimum 4 years for invoices) then fall to your own system or your accountant.
14. Changes to these Terms
If we modify these Terms, we'll notify you by email at least 15 days in advance. If you don't agree with the changes, you can cancel the service at no cost before they take effect.
15. Governing law and dispute resolution
These Terms are governed by Spanish law. For any dispute that cannot be resolved amicably, the parties submit to the Courts of the city where Ordifact has its registered office, except where mandatory law establishes another jurisdiction.
